of Tesla\u2019s annual shareholder meeting on November 6 in Austin, Texas. <\/p>\n<p>With the potential to make Musk the world\u2019s first trillionaire, the 10-year compensation plan has divided some of Tesla\u2019s largest investors, pension funds, and advisory firms, underscoring the tension between rewarding performance and curbing corporate concentration of power.<\/p>\n<p>Tesla Chair Robyn Denholm has warned shareholders that <a href=\"https:\/\/invezz.com\/news\/2025\/10\/28\/tesla-warns-musk-could-leave-if-1-trillion-pay-deal-fails-putting-ai-ambitions-at-risk\/\">Musk may consider leaving the company if the package fails to pass<\/a>, while the CEO himself has spent recent weeks publicly lobbying investors to approve the deal. <\/p>\n<p>The proposal, touted by the board as \u201cthe largest corporate pay package in history\u201d, would grant Musk massive stock-based incentives if he meets a series of ambitious financial and product milestones.<\/p>\n<h2 class=\"wp-block-heading\">Shareholders who back Musk\u2019s pay package<\/h2>\n<h3 class=\"wp-block-heading\">Cathie Wood\u2019s ARK Invest<\/h3>\n<p>Cathie Wood, CEO of ARK Invest and one of Musk\u2019s most vocal supporters on Wall Street, has backed the plan. <\/p>\n<p>Wood, earlier this month said she was confident the package would pass and argued that it could propel Tesla toward \u201csuper-exponential growth.\u201d <\/p>\n<p>Tesla remains the largest holding in ARK\u2019s portfolio, valued at around $1 billion, underscoring Wood\u2019s long-term faith in Musk\u2019s leadership and the company\u2019s AI-driven future.<\/p>\n<h3 class=\"wp-block-heading\">State Board of Administration of Florida<\/h3>\n<p>The State Board of Administration of Florida, which manages over $280 billion in assets and holds more than $1 billion worth of Tesla shares, announced its support for the proposal earlier this week. <\/p>\n<p>Chaired by Florida Governor Ron DeSantis, the board described the 2025 CEO performance award as a \u201cbold, performance-driven incentive structure,\u201d emphasizing its alignment with shareholder interests.<\/p>\n<h3 class=\"wp-block-heading\">Atreides Management<\/h3>\n<p>Gavin Baker, managing partner at Boston-based Atreides Management, also voiced support on social media platform X. <\/p>\n<p>Baker said his firm, holder of more than 321,000 Tesla shares worth approximately $141 million as of June 2025, would vote in favor of the proposal. <\/p>\n<p>\u201cElon\u2019s involvement is integral to maintaining Tesla\u2019s current course and trajectory,\u201d he said, adding that he would prefer similar performance-linked pay structures at all companies Atreides invests in.<\/p>\n<h3 class=\"wp-block-heading\">Wedbush Securities<\/h3>\n<p>Dan Ives, managing director at Wedbush Securities and a long-time Tesla bull, has likewise thrown his support behind Musk\u2019s pay plan. <\/p>\n<p>In a research note, Ives wrote that the proposed package would help keep Musk focused on Tesla\u2019s \u201cautonomous and robotics future,\u201d which he views as critical to the company\u2019s long-term success.<\/p>\n<h2 class=\"wp-block-heading\">Investors and institutions who are opposing the plan<\/h2>\n<h3 class=\"wp-block-heading\">New York State retirement fund<\/h3>\n<p>New York State Comptroller Thomas DiNapoli urged fellow shareholders to reject the plan, citing an \u201calarming lack of board independence.\u201d <\/p>\n<p>DiNapoli, who controls roughly 3.3 million Tesla shares through the state\u2019s pension system, called the proposed award \u201cpay for unchecked power,\u201d arguing that Musk\u2019s compensation would further concentrate control in one individual. <\/p>\n<p>\u201cThe idea that another massive equity award will somehow refocus a man who is distracted is both illogical and contrary to the evidence,\u201d DiNapoli wrote.<\/p>\n<h3 class=\"wp-block-heading\">California Public Employees\u2019 Retirement System (CalPERS)<\/h3>\n<p>CalPERS, the largest public pension fund in the US, also announced it would vote against the package. <\/p>\n<p>The fund\u2019s global equities investment director, Drew Hambly, said in a statement that the plan \u201cis larger than pay packages for CEOs in comparable companies by many orders of magnitude\u201d and \u201cwould further concentrate power in a single shareholder.\u201d <\/p>\n<p>CalPERS holds about 5 million Tesla shares, making it one of the company\u2019s most influential institutional investors.<\/p>\n<h3 class=\"wp-block-heading\">American Federation of Teachers<\/h3>\n<p>The American Federation of Teachers (AFT), the nation\u2019s second-largest teachers\u2019 union, joined several other unions and advocacy groups in urging shareholders to reject the plan. <\/p>\n<p>The AFT argued that the package fails to secure commitments ensuring Musk remains focused on Tesla, instead of his other ventures or political pursuits.<\/p>\n<h3 class=\"wp-block-heading\">Proxy Advisory firms ISS and Glass Lewis<\/h3>\n<p>Two of the most influential proxy advisory firms, Institutional Shareholder Services (ISS) and Glass Lewis, have both recommended that shareholders vote against the proposal. <\/p>\n<p>Glass Lewis cited \u201csignificant concerns\u201d about the plan\u2019s potential to dilute shareholder value and questioned the board\u2019s independence. <\/p>\n<p>Tesla responded sharply, accusing the firms of applying \u201cone-size-fits-all checklists\u201d and ignoring the company\u2019s record financial results under Musk\u2019s leadership.<\/p>\n<p>Musk, in response, lashed out at both firms during Tesla\u2019s latest earnings call, <a href=\"https:\/\/invezz.com\/news\/2025\/10\/23\/elon-musk-defends-record-1-trillion-tesla-pay-deal-calls-proxy-firms-corporate-terrorists\/\">calling them \u201ccorporate stakes<\/h2>\n<p>With the November 6 vote approaching, the battle over Musk\u2019s compensation has become one of the most closely watched corporate governance fights in recent memory. <\/p>\n<p>Supporters say the plan ties Musk\u2019s incentives directly to shareholder value creation and ensures his continued leadership, while critics warn it risks undermining accountability and corporate balance.<\/p>\n<p>Analysts expect the company to pass the vote, granting Musk the unprecedented pay package. <\/p>\n<p>Tesla&#8217;s board in the past has granted Musk grand compensation, although it faces legal scrutiny now. <\/p>\n<p>The board had passed $56 billion package in 2018.<\/p>\n<p>The Delaware Court of Chancery in 2024 ruled that the package was granted unfairly.
